Legal framework for our collaboration

These Terms and Conditions apply to all contracts between Codenade and our customers for the provision of web development, e-commerce solutions, technical services, and marketing services.
What we offer
How contracts are formed
Contracts are formed through written order confirmation after our free initial consultation. Offers are valid for 30 days.
By placing an order, the customer accepts these T&C and confirms the project specifications.
Transparent cost structure
Project execution
Delivery times are individually agreed. Standard projects: 4-8 weeks.
Close collaboration with the customer throughout the entire development process.
Change requests are billed separately and may delay delivery time.
Who owns what
All developed works are subject to our copyright until full payment.
After full payment, all usage rights transfer to the customer.
Rights to third-party software used remain with their respective owners.
We reserve the right to present projects in our portfolio.
What we guarantee
Warranty: 12 months from project acceptance for technical defects.
Free correction of errors demonstrably caused by our development.
Excluded are damages due to improper use or third-party interventions.
Liability regulations
Liability is limited to the contract amount, except in cases of intent or gross negligence.
No liability for indirect damages, lost profits, or consequential damages.
Data loss is only compensated in case of demonstrable negligence.
Contract termination
Customers can withdraw within 14 days without giving reasons (Distance Selling Act).
Extraordinary termination possible in case of payment default or contract violation.
In case of termination, partial services performed are billed accordingly.

German law applies excluding the UN Convention on Contracts for the International Sale of Goods.
Place of jurisdiction is Gelnhausen for business customers.
Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
